Prototype and Production Order Terms
What Ohmbo prototype and production orders include, and how their reviews, changes and delivery work
These terms supplement the Ohmbo Terms of Service for Orders accepted by Tact Limited. Your confirmed quote or Order identifies the actual product, price, scope, revision, acceptance criteria and any special promise. A separate signed term takes priority for its stated subject; previous Orders retain promises made when purchased.
What a Proto Kit includes
Where the purchased offer is the advertised Proto Kit, its stated package includes AI-assisted design, factory engineering review, five assembled and tested prototype boards and the design files identified at purchase. The Order must specify board characteristics, supplied parts, tests, revisions, timing and shipping. General SaaS access alone does not include this package or individual engineering review.
Review before manufacture
We review the proposed use, production revision and manufacturing requirements when deciding whether to accept and start a prototype or production Order. The review and any technical tests cover only the agreed version and scope. A factory DFM review or a passing prototype does not certify full-product safety, regulatory approval or volume-production reliability. We will not fabricate until the necessary version, cost and procurement authority are confirmed. See Sections 3.4, 8.1.1 and 8.3 of the Terms of Service.
When a project cannot be made
If a Proto Kit purchase expressly promises a full refund where factory review finds that the design cannot be built within the purchased service scope and no fix is agreed before fabrication, we honor that promise. The same applies to another express purchase or Order promise. A separately purchased feasibility study may be earned even if its conclusion is negative, unless its own terms provide otherwise. A requested change after approval is a change request, not a defect in the original Order.
Manufacturing, tests and delivery
The confirmed Order states work stages, lead-time conditions and expected shipping. Estimates do not permit indefinite delay. We record the specific inspection and tests performed; unperformed tests are not represented as passed. Failed agreed tests are investigated and, where appropriate, corrected, reworked or replaced. If reasonable remedies fail or applicable law requires it, affected fees may be refunded or another legal remedy provided. Source files and physical goods are released under the payment and delivery terms in Sections 6, 8 and 9 of the Terms of Service.
Cancellation and later production
After authorized fabrication, assembly or other irrevocable costs begin, the corresponding amount is not cancellable for convenience. Deposits are reconciled against completed agreed work and authorized irrevocable costs, without double charging; any balance due is returned. Defects, serious nonperformance and non-excludable rights remain. You may take files you are entitled to use to another manufacturer, but arrange the professional review, pilot build and validation needed for that production; our review of one prototype does not approve a later batch.
